THIS WAIVER AND FORBEARANCE AGREEMENT (this “Agreement”) is entered into as of January 10, 2011 by and among MANHATTAN PHARMACEUTICALS, INC., a Delaware corporation with a principal address at 48 Wall Street, New York, New York 10005 (the “Borrower” or the “Company”), and the other parties signatory hereto (each severally a “Lender” and collectively the “Lenders”).
