THIS EXECUTIVE SEVERANCE AND CHANGE OF CONTROL PLAN (this “Agreement”) is made and entered into as of February 28, 2011 (the “Effective Date”) by and between Mitek Systems, Inc., a Delaware corporation (the “Company”), and (the “Executive”).
