This Share Purchase Agreement (the “Agreement”) is entered into on the Effective Date by and among Dresser-Rand Group Inc., a Delaware corporation (the “Purchaser” or “Dresser-Rand Group”), Grupo Guascor S.L., a Spanish Sociedad Limitada (the “Company”), and the shareholders of the Company identified on Schedule I (collectively, the “Sellers” and, together with the Purchaser and the Company, the “parties” and each, individually, a “party”).
