THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered as of December 1, 2010 (the “Effective Date”), by and between Unitek USA, LLC, a Delaware limited liability company (“Unitek”), and Peter Giacalone (“Employee”). This Agreement amends and restates the Employment Agreement, dated July 5, 2009, between Employee and the Company and shall be effective from the Effective Date.
