LivePerson, Inc., a Delaware corporation (the “Company”) hereby grants, as of _____ (the “Grant Date”), to _____ (the “Participant”) of an option (the “Option”) to purchase ____ shares of the Common Stock, $0.001 par value per share, of the Company (“Shares”) at an exercise price equal to $_____ per share (the “Exercise Price”).
