THIS EMPLOYMENT AGREEMENT (the “Agreement”), made as of this 4th day of August, 2011, is entered into by Cleveland Biolabs, Inc., a Delaware corporation with its principal place of business at 73 High Street, Buffalo, NY 14203 (and together with its subsidiaries, affiliates, successors or assigns the “Company”), and C.
