THIS LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of August 17, 2011 (the “Effective Date”) between SILICON VALLEY BANK, a California corporation (“Bank”), and INTELLICHECK MOBILISA, INC., a Delaware corporation, MOBILISA, INC., a Washington corporation and POSITIVE ACCESS CORPORATION, a Delaware corporation (each a “Borrower” and collectively “Borrowers”), provides the terms on which Bank shall lend to Borrowers and Borrowers shall repay Bank.
