THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made as of August 19, 2011, by and between PQH WIRELESS, INC., a Nebraska corporation dba Ring Ring Wireless (the “Buyer”), and CRICKET COMMUNICATIONS, INC., a Delaware corporation (the “Seller”).
