This Stock Purchase Agreement, dated as of December 2, 2011 (this “Agreement”), is made by and between MusclePharm Corporation, a Nevada corporation (the “Company”) and TSX Holdings, LLC, a limited liability company organized and existing under the laws of the State of South Carolina (the “Purchaser”).
