This Separation and Independent Contractor Services Agreement (the "Agreement") is made and entered into as of January 27, 2012 by and between IntraLinks Holdings, Inc. and/or one or more of it subsidiaries ("Company"), and David G. Curran, residing at xxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxx ("Contractor"). Upon termination of Contractor’s employment with the Company, the Company desires to retain Contractor as an independent contractor to perform consulting services for Company and Contractor is willing to perform such services, on terms set forth more fully below.
