This PLACEMENT AGENT’S WARRANT (this “Warrant”) of LiqTech International, Inc., a corporation duly organized and validly existing under the laws of the State of Nevada (the “Company”), is being issued pursuant to that certain Placement Agency Agreement, dated as of March 8, 2012 (the “Placement Agency Agreement”), by and among the Company and Sunrise Securities Corp.
