THIS AGREEMENT (the "Agreement") made as of this 9th day of March, 2012 (the "Effective Date") by, between, and among Sandy Spring Bancorp, Inc., a registered bank holding company and a Maryland Corporation (“Bancorp”), Sandy Spring Bank, a Maryland corporation and wholly owned subsidiary of Bancorp with its headquarters in Olney, Maryland and Jeffrey A. Welch (the “Officer").
