This Settlement Agreement and Mutual Release, dated as of March 11, 2012 (this “Settlement Agreement”), is made and entered into by and among Evergreen Solar, Inc., a Delaware corporation (“Evergreen”), Massachusetts Development Finance Agency, a Massachusetts body politic and corporate and a public instrumentality of the Commonwealth of Massachusetts established under Chapter 23G of the Massachusetts General Laws, as amended (“MassDevelopment”) and 112 Barnum Road, LLC, a Delaware limited liability company (“Barnum Road”).
