STOCK PURCHASE AGREEMENT THIS STOCK PURCHASE AGREEMENT (the “Agreement”) is dated day of March 12, 2012, by and among Fenghua Fan (the “Buyer”), China Intelligence Information Systems, Inc.. (the “Company”). China Intelligence Information System Inc. WHEREAS, the Company desire to sell its common stock to Buyer, and Buyer desires to buy 4,880,000 shares of the Company’s common stock for the consideration and upon the terms and subject to the conditions hereinafter set forth.
