THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made as of February __, 2012 by and between XCel Brands, Inc. a Delaware corporation (the “Company”), and Marisa Gardini (the “Executive”), each a “Party” and collectively the “Parties.” This Agreement amends and restates that certain employment agreement dated as of May 19, 2011, by and between the Company and the Executive. Unless otherwise indicated, capitalized terms used herein are defined in Section 2.1 of this Agreement.
