This Employment Agreement (this “Agreement”) is made and entered into by and between Eternal Energy Corp. (the “Company”) and Thomas G. Lantz (“Executive”). This Agreement shall become effective as of the consummation of the Transactions contemplated by that certain Agreement and Plan of Merger executed by the Company and American Eagle Energy, Inc. on the 12th day of April, 2011, (the “Effective Date”). The Company and Executive may be referred to herein collectively as “Parties” and individually as “Party.” In consideration of the mutual promises, covenants and conditions hereinafter set forth and other good and valuable consideration, the receipt and sufficiency of which the Parties acknowledge, the Parties agree as follows:

THIS LEASE ADDENDUM (this “Addendum”) is entered into effective the 1st day of October 2011, by and between Oakley Ventures, LLC, a Colorado limited liability company (“Oakley”), and Eternal Energy Corp., a Nevada Corporation (“Lessee”).
