This Note Purchase Agreement (the “Agreement”) is made as of May 21, 2012 (the “Effective Date”) by and among Innolog Holdings Corporation, a Nevada corporation (the “Company”) and the persons and entities named on the Schedule of Purchasers attached to this Agreement (individually, a “Purchaser” and collectively, the “Purchasers”).

This Rights Agreement (this “Agreement”) is entered into as of May 21, 2012 by and among Innolog Holdings Corporation, a Nevada corporation (the “Company”) and the individuals and entities set forth on Exhibit A attached to this Agreement (individually, a “Rights Holder,” and collectively, the “Rights Holders”).

This Security Agreement (as amended, modified or otherwise supplemented from time to time, this “Security Agreement”), dated as of May 21, 2012, is executed by Innolog Holdings Corporation, a Nevada corporation (“IHC”), and Innovative Logistics Techniques, Inc., a Virginia corporation (“ILT”, and together with IHC, their successors and assigns, are referred to herein collectively as “Company”), in favor of Collateral Agent (as herein defined) on behalf of the purchasers listed on the signature pages hereto and executing this Security Agreement (“Purchasers”).
