THIS LOAN AGREEMENT (this "Agreement") is made and entered into this 26th day of June 2012 (the "Effective Date"), by and between Green Venture Group, LLC, represented by its Manager, Mike Zoi, acting pursuant to the Certificate of Formation/Operating Agreement of Green Venture Group, LLC (“Lender”) and OOO Net Element Russia, represented by General director Trofimov Vladimir Ivanovich acting pursuant to the Charter (“Borrower”).
