You (the “Grantee”) have been granted an award of restricted shares (the “Award”) of the Company's common stock, par value $.001 per share (the “Common Stock”), subject to the terms and conditions of this Notice of Restricted Stock Award (the “Notice”), the Protalix BioTherapeutics, Inc. 2006 Stock Incentive Plan, as amended on June 17, 2012 (the “Plan”), as may be further amended from time to time, and the Restricted Stock Award Agreement (the “Agreement”) attached hereto, as set forth herein. Unless otherwise defined herein, the terms defined in the Plan shall have the same defined meanings in this Notice.
