This AGREEMENT is made as of October 3, 2011 between MORGAN CREEK GLOBAL EQUITY LONG/SHORT FUND, a Delaware statutory trust (the “Fund”) and TOWN HALL CAPITAL, LLC, a Delaware limited liability company with its principal place of business in New York, New York (the “Distributor”).
