This Transfer Agency and Service Agreement (“Agreement”) dated and effective as of September 12, 2011, by and between State Street Bank and Trust Company, a Massachusetts trust company (“State Street” or the “Transfer Agent”), and the registered investment companies listed on Schedule A hereto (each a “Fund”), each having its principal office and place of business at 301 West Barbee Chapel Road, Chapel Hill, NC 27517.
