EMPLOYMENT AGREEMENT dated as of September 17, 2012 (the “Effective Date”), by and between IntraLinks Holdings, Inc., a Delaware corporation with its principal place of business at New York, New York (hereinafter referred to as the “Company”), and Derek Irwin, residing at XXXXXXXXXXXXXXXXXXX (hereinafter referred to as “Executive”).

This Separation and Independent Contractor Services Agreement (the “Agreement”) is made and entered into this 30th day of August, 2012 by and between IntraLinks Holdings, Inc. and/or one or more of its subsidiaries (the “Company”), and Anthony Plesner, residing at XXXXXXXXXXXXXXXXXXXX (“Contractor”). Upon termination of Contractor’s employment with the Company, the Company desires to retain Contractor as an independent contractor to perform consulting services for the Company and Contractor is willing to perform such services, on terms set forth more fully below. In consideration of the mutual promises contained herein, the parties agree as follows:
