THIS MULTIFAMILY LOAN AND SECURITY AGREEMENT (“Loan Agreement”) is dated as of the ___ day of __________, 2012 and is made by and between WAYPOINT ENDERS OWNER, LLC, a Delaware limited liability company (“Borrower”), and JONES LANG LASALLE OPERATIONS, L.L.C, an Illinois limited liability company (together with its successors and assigns, “Lender”).

THIS SECOND AMENDED AND RESTATED ADVISORY AGREEMENT (this Agreement”), dated as of the 17th day of October, 2012, with an effective date of September 26, 2012 (the Effective Date ”), is entered into by and among Bluerock Enhanced Multifamily Trust, Inc., a Maryland corporation (the Company ”), Bluerock Enhanced Multifamily Holdings, L.P., a Delaware limited partnership (the Operating Partnership ”), and Bluerock Enhanced Multifamily Advisor, LLC, a Delaware limited liability company (the Advisor ”). Capitalized terms used herein shall have the meanings ascribed to them in Section 1 below.
