THIS AMENDED AND RESTATED EXECUTIVE EMPLOYMENT AGREEMENT (“Agreement”) is made and entered into as of October 18, 2012 (the “Effective Date”), by and between MusclePharm Corporation, a Nevada Corporation (the “Company”), and Jeremy R. DeLuca, an individual (“Executive”). The Company and Executive are sometimes referred to herein as a “party” or collectively as the “parties.”
