This Subscription Agreement (this “Agreement”) has been executed by the subscriber set forth in the signature page attached hereto (the “Subscriber”) in connection with the private placement offering (the “Offering”) of up to $100,000 in principal amount of 10% eighteen (18) month convertible promissory notes (the “Notes”) of Loreto Resources Corporation, a Nevada Corporation (the “Company”). This subscription is being submitted to you in accordance with and subject to the terms and conditions described in this Agreement.
