This SHARE EXCHANGE AGREEMENT (this “Agreement”), dated as of December 14, 2012, is by and among ALLIED TECHNOLOGIES GROUP, INC., a Nevada corporation (the “Parent”), IHAR YARAVENKA, the principal shareholder of the Parent (the “Principal Shareholder”), TRIORESOURCES AG INC., an Ontario corporation (the “Company”), and the shareholders of the Company (each a “Shareholder” and collectively the “Shareholders”).
