EMPLOYMENT AGREEMENT (this “Agreement”) dated as of May 6, 2013 (the “Effective Date”) is entered into by and between Richfield Oil & Gas Company, a Nevada corporation having its principal place of business at 15 W. South Temple, Suite 1050 Salt Lake City, Utah 84101 (the “Company”), and Alan D. Gaines, an individual presently residing in the State of Connecticut (“Executive”).
