THIS AMENDED AND RESTATED SECURITIES PURCHASE AGREEMENT (the “Agreement”) is made as of the 20th day of June, 2013, by and between BeesFree, Inc., a Nevada corporation (the “Company”), BeesFree USA, Inc., a Delaware corporation (“BeesFree USA”), and the investors listed on the Schedule of Investors attached hereto (each an “Investor” and collectively, the “Investors”).
