This Note and Warrant Purchase Agreement (the “Agreement”) is made as of , 2013 (the “Effective Date”) by and among Protea Biosciences Group, Inc., a Delaware corporation (the “Company”), and the purchasers executing a signature page attached hereto (each, individually, a “Purchaser”, and collectively, the “Purchasers”).
