This INDEPENDENT DIRECTOR AGREEMENT (the “Agreement”) is made and entered into as of this 30th day of May 2013, effective as of April 14, 2013 (the “Effective Date”), by and between Lihua International, Inc., a Delaware corporation whose shares are publicly traded (the “Company”), and Jonathan P. Serbin, a citizen of the United States.
