The attached amended and restated Schedule A is hereby incorporated into the Management Agreement dated September 12, 2008, as amended ( “Agreement”), by and between the American Beacon Funds and the American Beacon Select Funds, each a Massachusetts business trust (each, a “Trust”), on behalf of each Fund of a Trust listed on Schedule A hereto, as may be amended from time to time (each, a “Fund”), and American Beacon Advisors, Inc., a Delaware corporation (“Manager”). In addition, with regard to the American Beacon SGA Global Growth Fund (the “SGA Fund”), Paragraph 2(f) of the Agreement is hereby amended to provide that to the extent any such duties specified in Paragraph 2 of the Agreement are delegated to a Subadviser, the fees of the Subadviser shall be the expense of the SGA Fund and not of the Manager.
