THIS FIRST AMENDMENT TO AMENDED AND RESTATED SECURITIES PURCHASE AGREEMENT (this “First Amendment”) is made as of the 1st day of November, 2013, by and among (i) LTN ACQUISITION, LLC, a Delaware limited liability company (the “Parent”), LTN STAFFING, LLC, a Delaware limited liability company formerly known as LTN Operating Co., LLC and wholly-owned subsidiary of the Parent, which, as hereinafter provided in this First Amendment, intends to convert to a Delaware corporation named BG Staffing, Inc. This EIGHTH AMENDMENT TO LOAN AND SECURITY AGREEMENT AND OTHER LOAN DOCUMENTS (this “Amendment”) is made as of the 1st day of November, 2013, by and among LTN ACQUISITION, LLC, a Delaware limited liability company (“LTN Acquisition”), LTN STAFFING, LLC, a Delaware limited liability company, which intends to convert to a Delaware corporation named BG Staffing, Inc.
