This Indemnification Agreement ("Agreement") is made as of August 14, 2013 by and between Bacterin International Holdings, Inc., a Delaware corporation (the "Company"), and Daniel S. Goldberger, a resident of the State of Colorado ("Indemnitee"). This Agreement supersedes and replaces any and all previous Agreements between the Company and Indemnitee covering the subject matter of this Agreement.

This WAIVER AND FIFTH AMENDMENT TO CREDIT AGREEMENT (this “Amendment”) is made and entered into as of November 14, 2013 by and among Bacterin International, Inc., a Nevada corporation (the “Borrower”), Bacterin International HOLDINGS, Inc., a Delaware corporation (“Holdings”), and ROS Acquisition Offshore LP, a Cayman Islands Exempted Limited Partnership (the “Lender”).
