This REGISTRATION RIGHTS AGREEMENT dated December 13, 2013 (this “Agreement”) is entered into by and between Mid-America Apartments, L.P., a Tennessee limited partnership (the “Operating Partnership”) and J.P. Morgan Securities LLC, as dealer manager (the “Dealer Manager”). The Operating Partnership, Mid-America Apartment Communities, Inc., a Tennessee corporation (the “Company”) and the Dealer Manager are parties to the Dealer Manager Agreement dated November 12, 2013 (the “Dealer Manager Agreement”), related to the Operating Partnership’s offer to exchange the 5.50% Senior Notes due 2015 of Colonial Realty Limited Partnership, a Delaware limited partnership and a wholly owned indirect subsidiary of the Operating Partnership, for cash and the Operating Partnership’s new 5.50% Senior Notes due 2015 (the “Securities”).
