This Asset Purchase Agreement (this “Agreement”), dated as of December 27, 2013, is entered into by and among Hani “Sam” Tadros, D.D.S. (“Dentist”), Implant, General & Cosmetic Dentistry of Tampa Bay, P.A., a Florida corporation (“IGCD,” and collectively with Dentist, “Sellers”) and Sebring Management FL, LLC, a Florida limited liability company (“SMFL”) and Alan D.
