TERM LOAN AND GUARANTY AGREEMENT, dated as of April 23, 2013 among TOWER AUTOMOTIVE HOLDINGS USA, LLC (the “Borrower”), TOWER INTERNATIONAL, INC. SECOND REFINANCING TERM LOAN AMENDMENT AND ADDITIONAL TERM LOAN AMENDMENT, dated as of January 31, 2014 (this “Refinancing Amendment”), in respect of the Term Loan and Guaranty Agreement, dated as of April 23, 2013, among Tower Automotive Holdings USA, LLC (the “Borrower”), Tower International, Inc.
