This SECURITIES PURCHASE AGREEMENT (this “Agreement”), dated as of February 21, 2014, is by and among Dehaier Medical Systems Limited, a British Virgin Islands company with headquarters located at Room 501, Jiuzhou Plaza, 83 Fuxing Road, Haidian District, Beijing 100856, People’s Republic of China (the “Company”), and each of the investors listed on the Schedule of Buyers attached hereto (individually, a “Buyer” and collectively, the “Buyers”).
