This Separation and Release of Claims Agreement (this “Agreement”) is dated as of April 8, 2014 (the “Execution Date”), by and between MusclePharm Corporation, a Nevada corporation (the “Company”), on behalf of itself, its subsidiaries and other corporate affiliates and each of their respective employees, officers, directors, owners, shareholders and agents (collectively referred to herein as, the “Employer Group”), and L. Gary Davis (the “Employee”). The Company and the Employee are sometimes collectively referred to herein as the “Parties.”
