This Consulting Agreement (“Agreement”) is entered into as of April 21, 2014 by and between Liquid Holdings Group, Inc., a Delaware corporation (the “Company”), and Ferdinand Trading LLC, a Delaware Limited Liability Company (“Consultant”). The Company desires to retain Consultant as an independent contractor to perform consulting services for the Company, and Consultant is willing to perform such services, on the terms described below. In consideration of the mutual promises contained herein, the parties agree as follows:

In consideration of the agreement by Liquid Holdings Group, Inc. (the “Company”) to enter into a Separation and Release Agreement with Brian Ferdinand, and for other good and valuable consideration, receipt of which is hereby acknowledged, each of the undersigned (the “Undersigned”) hereby agrees that (other than as set forth below), during the period beginning on April 18, 2014 through and including April 17, 2015 (such period, the “Restricted Period”), he or it will not sell, offer, agree to sell, contract to sell, hypothecate, pledge (other than the ordinary course pledging of the Undersigned’s shares of Common Stock, as defined below, in connection with the establishment of full-recourse margin credit by the Undersigned), grant any option to purchase, make any short sale of or otherwise dispose of or hedge, directly or indirectly, any shares of the Company’s common stock, par value $0.0001 per share (the “Common Stock”), any securities of the Company that are substantially similar
