This Collateral Management Agreement (as amended, supplemented or otherwise modified from time to time, this “Agreement”), dated as of June 5, 2014 is entered into by and between GOLUB CAPITAL BDC CLO 2014 LLC, a Delaware limited liability company (the “Issuer”) and GC ADVISORS LLC, a Delaware limited liability company, as collateral manager (together with its successors and permitted assigns, “GC Advisors” and the “Collateral Manager”).
