AGREEMENT made as of this 4 day of August, 2014, by and between AdvisorShares Investments, LLC, a Delaware limited liability company with its principal place of business at 2 Bethesda Metro Center, Suite 1330, Bethesda, MD 20814 (the “Adviser”), and Baldwin Brothers Inc., a Delaware corporation with its principal place of business at 204 Spring Street, Marion, MA 02738 (the “Sub-Adviser”).

This Amendment is an amendment to the Fund Administration and Accounting Agreement between The Bank of New York Mellon (“BNY Mellon”) and AdvisorShares Trust (the “Trust”) on behalf of each entity listed on Exhibit A thereto (each, a “Fund” and collectively, the “Funds”) dated as of July 16, 2009 (the “Agreement”).
