This AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into effective as of September 10, 2014 (the “Effective Date”), by and between Emerald Oil, Inc., a Delaware corporation (the “Company”), and Ryan Smith (“Employee”). Notwithstanding the foregoing, the provisions of Section 8 shall be effective immediately on the signing of this Agreement by the Company and the Employee.
