THIS AMENDED AND RESTATED LOAN SALE AND CONTRIBUTION AGREEMENT, dated as of October 16, 2014 (this “Agreement”), is between FIFTH STREET SENIOR FLOATING RATE CORP., a Delaware corporation (together with its successors and assigns, “Fifth Street,” and in its capacity as seller hereunder, together with its successors and assigns, the “Seller”) and FS SENIOR FUNDING LLC, a Delaware limited liability company (together with its successors and assigns, the “Buyer”).
