This TERM LOAN AND SECURITY AGREEMENT (this “Agreement”), dated as of September 22, 2014, is by and among Summit Lamar, LLC, a Delaware limited liability company (“Lamar”), Summit Monte Vista, LLC, a Delaware limited liability company (“Monte Vista” and together with Lamar, the “Borrowers” and each a “Borrower”) and The PrivateBank and Trust Company, an Illinois banking corporation (together with its successors and assigns, the “Lender”).
