Horizon Technology Finance Corporation, a Delaware corporation (the “Company”), proposes to issue and sell 2,000,000 shares and Compass Horizon Partners, L.P., a Bermuda exempted limited partnership (the “Selling Shareholder”), severally proposes to sell 380,000 shares (together with the shares to be issued and sold by the Company, the “Firm Shares”) of common stock, par value $0.001 per share, of the Company to the several Underwriters named in Schedule I hereto (the “Underwriters”), for whom Keefe, Bruyette & Woods, Inc. (“KBW”) and Oppenheimer & Co. Inc. (“Oppenheimer”) are acting as representatives (in such capacity, the “Representatives”).
