This Interim Chief Operating Officer Agreement (“Agreement”) is entered into by and between AmpliPhi Biosciences Corporation, a Washington corporation (the “Company”) and Wendy S. Johnson (“Consultant”), on September 18, 2014, and shall be deemed to be effective as of September 1, 2014. The Company desires to retain Consultant as an independent contractor to perform services for the Company on an interim basis, and Consultant is willing to perform such services, on the terms described below.
