ASSET PURCHASE AGREEMENT (the “Agreement”), dated as of August 9, 2015 (the “Effective Date”), by and among Response Genetics, Inc., a Delaware corporation (the “Seller”), and Cancer Genetics, Inc., a Delaware corporation (the “Purchaser”).
