This AMENDMENT NO. 2 (“Amendment No. 2”) to the Employment Agreement by and between Dean Tozer (the “Employee”) and Nuo Therapeutics, Inc. (formerly, Cytomedix, Inc.) (the “Company”, and together with Executive, the “Parties”), dated as of May 30, 2014 (the “Original Employment Agreement”), is entered into as of August 13, 2015, by and between Employee and the Company. Capitalized terms used but not defined in this Amendment No. 2 shall have the same meaning ascribed to them in the Original Employment Agreement.

This AMENDED & RESTATED LICENSE AGREEMENT is made and entered into as of October 16, 2015 (this “Agreement”), between NUO THERAPEUTICS, INC. (f/k/a Cytomedix, Inc.), a Delaware corporation, with its principal office at 209A Perry Parkway, Suite 1, Gaithersburg, MD 20877 (“Nuo”), and ARTHREX, INC., a Delaware corporation, with its principal office at 1370 Creekside Boulevard, Naples, FL 34108-1945 (“Arthrex”). Each of Nuo and Arthrex is hereinafter referred to as a “Party” and collectively the “Parties.”

As we have discussed, your last day of work with Nuo Therapeutics, Inc. f/k/a Cytomedix, Inc. (“Nuo Therapeutics” or the “Company”) will be today, August 13, 2015. This letter agreement (“Agreement”) sets forth the terms of your separation from the Company. As this is a legal document, you are advised to consult with an attorney before signing it.
