Zoeller (the “Purchaser”) and, solely for purposes of Sections 3.01, 3.02, 3.03, 5.04, 5.06 and 5.07, Cordia Bancorp Inc., a Virginia corporation and the parent holding company of the Bank (“Cordia”)
