THIS FACTORING AGREEMENT (the “Agreement”) made and entered into this MAY 6, 2016 (the “Effective Date”) by and between RTS FINANCIAL SERVICE, INC., (“Factor”), a Kansas Corporation; and TSS, INC. D/B/A TOTAL SITE SOLUTIONS, a Delaware corportion; VTC, LLC d/b/a Total Site Solutions, a maryland limited liability company; and Innovative Power Systems, Inc., a virginia corporation (collectively, the “Assignor”).
